By creating an account, accessing, or using Blendry, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Blendry is a social media management platform that allows users to:

• Connect multiple social media accounts (Twitter/X, LinkedIn, Instagram, Facebook, TikTok, YouTube)
• Create, edit, and schedule social media posts
• Generate AI-powered content using various AI providers
• Upload and manage media files
• Post content to multiple platforms simultaneously

3. Eligibility and User Accounts

3.1 Age Requirement

You must be at least 13 years old to use Blendry. If you are under 18, you must have parental or guardian consent. By using the Service, you represent and warrant that you meet these requirements.

3.2 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

3.3 Account Sharing

You may not share your account credentials with others or allow others to access your account. Each account is for individual use only.

4. Social Media Integration and OAuth

4.1 Third-Party Authorization

When you connect social media accounts to Blendry, you authorize us to access and use your social media accounts through OAuth authentication. This includes:

• Posting content on your behalf
• Accessing your profile information
• Managing your posts and media

4.2 Third-Party Terms

Your use of connected social media platforms is subject to their respective terms of service and policies. You are responsible for complying with all third-party terms when using Blendry to post to those platforms.

4.3 Revocation of Access

You may revoke Blendry's access to your social media accounts at any time by disconnecting them through our platform or through the social media platform's settings.

5. Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to the content you create, upload, or post through Blendry ("Your Content"). However, by using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to:

• Store, process, and transmit Your Content
• Display Your Content to you within the Service
• Post Your Content to social media platforms as directed by you
• Use AI providers to generate and adapt Your Content
• Back up and secure Your Content

This license terminates when you delete Your Content or your account, except for content that has already been posted to third-party platforms.

5.2 AI-Generated Content

Blendry uses AI providers (including but not limited to OpenAI, Anthropic, Google, and local Ollama models) to generate content. You acknowledge that:

• AI-generated content may not always be accurate, appropriate, or original
• You are responsible for reviewing and approving all AI-generated content before posting
• AI-generated content may be subject to the terms of the AI provider
• You should verify factual accuracy and compliance with applicable laws

5.3 Prohibited Content

You agree not to create, upload, or post content that:

• Violates any law, regulation, or third-party rights
• Infringes on intellectual property, privacy, or publicity rights
• Contains malware, viruses, or harmful code
• Is defamatory, obscene, pornographic, or sexually explicit
• Promotes violence, terrorism, or illegal activities
• Contains hate speech, harassment, or discrimination
• Impersonates any person or entity
• Contains false or misleading information
• Violates the terms of service of connected social media platforms

5.4 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, or remove content that violates these Terms or is otherwise objectionable. We are not responsible for content posted by users.

5.5 Blendry's Intellectual Property

The Service, including its design, functionality, code, trademarks, and logos, is owned by Blendry and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.

6. User Conduct and Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems (bots, scrapers) without permission
• Circumvent any security features or access controls
• Transmit spam, chain letters, or unsolicited communications
• Engage in any activity that could damage our reputation
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete with us or build a similar service
• Violate the rate limits or usage quotas of connected social media platforms

7. Subscriptions, Billing, and Payments

7.1 Free and Paid Plans

Blendry offers both free and paid subscription plans. Features, usage limits, and pricing are described on our website and may change with notice.

7.2 Billing

By subscribing to a paid plan, you agree to pay the fees associated with your chosen plan. Fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as stated in our refund policy.

7.3 Payment Processing

Payments are processed by third-party payment processors. You agree to provide accurate payment information and authorize us to charge your payment method.

7.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

7.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply to subsequent billing periods after the notice period.

7.6 Refunds

We offer a 7-day money-back guarantee for new paid subscriptions. Refund requests must be submitted within 7 days of your first payment. Refunds are not available for subscription renewals, upgrades, or after the 7-day period.

8. Termination and Suspension

8.1 Termination by You

You may terminate your account at any time by deleting your account through the Service. Upon termination:

• Your account and data will be permanently deleted
• You will lose access to all content and features
• Active subscriptions will be canceled (no refunds for partial periods)
• Content already posted to social media platforms will remain there

8.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if you:

• Violate these Terms or our Privacy Policy
• Engage in fraudulent or illegal activities
• Abuse the Service or harm other users
• Fail to pay subscription fees
• Violate third-party rights or terms

8.3 Effect of Termination

Upon termination, all licenses granted to you will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect.

9. Disclaimers and Warranties

9.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the accuracy, reliability, or quality of content

9.2 Third-Party Services

We do not guarantee the availability, functionality, or accuracy of third-party services (social media platforms, AI providers, payment processors). We are not responsible for any issues arising from third-party services.

9.3 AI-Generated Content

We do not warrant that AI-generated content will be accurate, appropriate, original, or free from errors. You are solely responsible for reviewing and using AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLENDRY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Service
• Unauthorized access to or alteration of your content or data
• Content or conduct of third parties on the Service
• Issues with third-party platforms or services
• Errors, mistakes, or inaccuracies in content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Blendry and its affiliates, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your content or posts to social media platforms
• Your violation of applicable laws or regulations

12. Data Privacy and Security

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand how we collect, use, and protect your data.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

13.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, except for claims that may be brought in small claims court. Arbitration will be conducted in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only, and you waive any right to bring claims as a class, collective, or representative action.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blendry regarding the Service and supersede all prior agreements and understandings.

18. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19. Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
